Job Summary:We are looking for a qualified Company Secretary with 4–5 years of post-qualification experience (excluding internship/training period) in the secretarial function of a listed company. This role offers an opportunity to be part of the Secretarial Team of the listed holding company of one of India's leading business groups and play a key role in driving corporate governance, regulatory compliance and strategic secretarial initiatives. The candidate will independently manage critical secretarial matters, engage with senior management, business heads and cross-functional teams, and contribute to maintaining the highest standards of corporate governance and compliance.
Key Responsibilities:1) Board & Corporate Governance:Independently manage end-to-end Board, Committee and Shareholder Meeting processes, including Annual General Meetings, Extraordinary General Meetings and Postal Ballots.Prepare and finalise Board and Shareholder Notices, Agendas, Presentations, Minutes, Circular Resolutions and Action Trackers.Drive compliance with the Companies Act, 2013, SEBI Listing Regulations and other applicable corporate laws.Drive the implementation of corporate governance initiatives and adoption of governance best practices.Maintain statutory registers, secretarial records and corporate documentation.
2) Regulatory ComplianceEnsure timely statutory filings and disclosures with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), Stock Exchanges, SEBI and other regulatory authorities, including XBRL filings.Monitor and ensure compliance with applicable SEBI Regulations, including:o SEBI (Listing Obligations and Disclosure Requirements) Regulations;o SEBI (Prohibition of Insider Trading) Regulations;o SEBI (Substantial Acquisition of Shares and Takeovers) Regulations; ando Other applicable SEBI Regulations.Track regulatory developments, analyse their business impact and drive implementation of necessary compliance measures, including updates to corporate governance policies, Board Committee Charters and Terms of Reference.
3) Secretarial OperationsIndependently manage secretarial compliances for the listed entity, subsidiaries and other group entities and LLPs.Manage corporate actions including dividend, Investor Education and Protection Fund (IEPF) matters, Postal Ballots and other shareholder-related compliances.Coordinate and drive the preparation of the Annual Report from a secretarial and governance perspective.Liaise with Registrars & Transfer Agents, Stock Exchanges, Depositories, legal advisors and regulatory authorities.Monitor investor grievances, including matters relating to the SCORES platform, and ensure timely resolution.Manage compliances relating to Commercial Papers, Non-Convertible Debentures and other listed debt securities.Manage compliances relating to ESOP Scheme and other corporate actions, as applicable.Oversee annual filings, maintenance of statutory registers, secretarial records and other corporate records for companies and LLPs.
4) Strategic & Transaction Support:Independently manage debt issuances, fund-raising transactions and related regulatory compliances.Support incorporation, restructuring and other corporate actions, as applicable.Participate in and manage secretarial due diligence exercises, Secretarial Audits, Statutory Audits and governance reviews.Analyse changes in applicable laws, prepare internal regulatory updates and recommend implementation measures for the Secretarial function.
5) Stakeholder Management:Build and maintain effective working relationships with internal and external stakeholders, including regulatory authorities.Partner with cross functional teams to ensure seamless execution of governance and compliance initiatives.Ensure timely delivery of assignments while maintaining the highest standards of professionalism, confidentiality and governance.
What We Are Looking For The ideal candidate should possess:Strong understanding of the Companies Act, SEBI Listing Regulations, SEBI PIT Regulations, SEBI SAST and corporate governance framework.Excellent drafting, analytical and interpretation skills.Strong verbal and written communication skills.Ability to work with agility in a dynamic environment and manage multiple priorities while consistently delivering high-quality outcomes.Confidence to interact with senior management / HOD and cross-functional stakeholders with professionalism and maturity.Good judgement, discretion and a collaborative approach while handling sensitive and confidential matters.High level of ownership, accountability and attention to detail, with the ability to independently lead assignments and deliver high-quality outcomes.Proficiency in MS Office (Word, Excel and PowerPoint) and familiarity with secretarial and compliance platforms.
