Job Summary :About the RoleThe Sleep Company is a high-growth ₹1,000+ Cr consumer business with integrated manufacturing, retail, D2C/e-commerce, supply chain and warehousing operations.As TSC scales rapidly and prepares for its next phase of institutionalization, we are looking for a high-caliber Head – GRC to build and lead the company’s Governance, Risk & Controls framework.This is a high-impact leadership role with a mandate to strengthen governance, proactively identify business risks, build robust internal controls and provide independent assurance to the leadership team and Audit Committee.The ideal candidate will combine strong audit & controls expertise with sharp business understanding, commercial judgement and exceptional stakeholder management.

KEY MANDATES1. Build the GRC FrameworkBuild and institutionalize TSC’s enterprise-wide Governance, Risk & Controls framework.Establish a comprehensive Risk & Control Matrix (RCM) across critical business processes.Define clear control ownership, testing mechanisms, escalation and remediation processes.Strengthen Delegation of Authority, policies, SOPs and process governance.2. Enterprise Risk ManagementDevelop and maintain TSC’s Enterprise Risk Register covering strategic, financial, operational, technology, compliance and reputational risks.Establish risk assessment methodology, Key Risk Indicators (KRIs) and mitigation plans.Work closely with CXOs to proactively identify and mitigate risks that can impact growth, profitability, cash flows, customer experience and brand.Provide regular risk reporting to the leadership team and Audit Committee.3. Internal Audit & AssuranceBuild and execute a risk-based Internal Audit plan covering Finance, Procurement, Manufacturing, Supply Chain, Warehousing, Retail, D2C, Technology and other critical functions.Move the organisation from traditional transaction-focused audits to business-risk, control and value-focused assurance.Identify control gaps, process inefficiencies, leakage and potential frauds.Ensure root-cause analysis and timely closure of high-risk observations.4. Fraud, Leakage & Control MonitoringBuild a strong fraud prevention and detection framework.Identify financial and operational leakages across procurement, inventory, discounts, logistics, retail, refunds, vendor payments and other high-risk areas.Leverage data analytics and technology-enabled continuous monitoring to identify anomalies and control failures proactively.5. Compliance & GovernanceEstablish a robust framework for monitoring key statutory and regulatory compliances.Ensure clear ownership, evidence-based compliance and timely escalation of exceptions.Strengthen governance processes and reporting for the Board / Audit Committee.Work closely with Statutory Auditors, external auditors and other assurance partners.6. IPO & Institutionalization ReadinessDrive improvements in internal controls, governance, documentation, risk management and assurance required for TSC’s next phase of growth and eventual IPO readiness.Build a scalable GRC framework capable of supporting a significantly larger and more complex organization.

IDEAL CANDIDATEExperience12–18+ years of relevant experience in Internal Audit, GRC, Risk, Controls, Big 4 / Consulting or a combination.Experience in consumer, retail, manufacturing, D2C, e-commerce or other high-growth businesses preferred.Proven track record of building / transforming GRC or Internal Audit functions, rather than only operating within a mature framework.Strong experience partnering with CXOs, Founders, Board / Audit Committee and Statutory Auditors.QualificationCA / CIA / CISA / MBA or equivalent relevant qualification.CA with strong Internal Audit / Controls / GRC experience preferred.
