Job Purpose

To support execution of the M&A transactions, divestment and monetisation of non-core assets, corporate restructuring initiatives. Also lead & deliver financial analysis and cost-benefit assessments for large Towerco negotiations and other Network cost saving Initiatives.

Key Result Areas/Accountabilities

Support in end-to-end execution of the M&A transactions — early stage evaluation, impact analysis, transaction structuring, tax Optimisation, due diligence, valuation, and documentation, including leading the discussions with investment bankers, legal counsels and other internal and external stakeholders. Support in divestment and monetisation of non-core assets — transaction structuring, valuation, due diligence, and documentation including discussions with investment bankers, legal counsels and other internal and external stakeholders. Deliver multi-perspective financial evaluations covering business, regulatory, tax, and accounting implications of strategic transactions. Lead and execute corporate restructuring initiatives including mergers, demergers, subsidiary formations, and revenue and cost streamlining. Lead and deliver financial analysis and cost-benefit assessments for large IP and Indus vendor MSA negotiations and other Network cost saving Initiatives Support in the spectrum auction activities, TRAI consultation, auction process, auction set-up and first payment post auction Analyze and provide response to different regulatory interventions / new Govt. initiatives (TRAI, Do, etc.) to present Company’s viewpoint and safeguard company interests

Core Competencies, Knowledge, Experience

Strong knowledge of Financial modelling, Business plan preparation and Business Valuation Strong documentation and drafting skills for preparation of Agreements and Term Sheet w.r.t. various deals Strong Financial Analysis skills Well versed with knowledge of Indian Telecom Sector

Must Have Technical / Professional Qualifications

Chartered Accountant Prior experience of Financial modelling, Business plan preparation and Business Valuation Exposure to large telecom operator or infrastructure company preferred
