Location: Gurugram

Role Summary

The Company Secretary (CS) will act as a Key Managerial Personnel and Compliance Officer responsible for ensuring compliance with Companies Act, SEBI LODR, and sector-specific manufacturing regulations, while providing strategic governance advisory to the Board.

Key Responsibilities

Corporate Governance & Board AdvisoryAdvise the Board on corporate governance, compliance risks, and regulatory developmentsManage Board, Audit Committee, NRC, CSR and other Committee meetingsDrive governance frameworks across multiple manufacturing unitsEnsure implementation of Secretarial Standards and Board processesSupport Board in risk oversight SEBI LODR & Listed Entity ComplianceAct as Compliance Officer under SEBI LODREnsure:Timely stock exchange disclosures (financial & operational)Compliance with related party transactions normsDisclosure of material events (including plant shutdowns, accidents, expansions)Manage investor communications and earnings disclosuresHandle insider trading compliance and structured digital database (SDD) EHS, ESG & Sustainability GovernanceSupport governance and reporting on:Environmental, Health & Safety (EHS) frameworksESG disclosures and sustainability reportingEnsure accurate reporting of:Safety incidentsEnvironmental compliance breaches (if any)Work with internal teams on BRSR / ESG reporting (for listed entities) Statutory & Secretarial ComplianceEnsure compliance with:Companies Act, 2013SEBI Regulations (LODR, PIT, ICDR)FEMA, RBI norms (for import/export exposure)Maintain statutory registers and filings with ROC/MCAManage secretarial audit, annual compliance certifications, and board disclosures Capital Markets & Corporate ActionsManage Dividend declarations, bonus/rights issue, ESOPsSupport M&A, JV, and restructuring transactions involving plants/business unitsLiaise with merchant bankers, legal advisors, and regulators Stakeholder & Regulatory InterfaceAct as key liaison with SEBI, Stock Exchanges, ROC, MCAManage shareholder relations and grievance redressalSupport audit interactions (internal, statutory, secretarial)
