Role DescriptionLead statutory and regulatory compliance for India HQ's legal entity – Foxconn India Private Limited (FXI) as per India's Corporate LawKey ResponsibilitiesOrganize and conduct Board Meetings including preparation of comprehensive agendas, notices, and documentation, accurate recording of minutes and ensure timely follow-up on action pointsDraft resolutions, and file necessary forms / returns / applications / registrations with the appropriate regulatory bodiesProvide expert advisory services on corporate governance matters, regulatory requirements, and the responsibilities of DirectorsEnsure compliance with India Corporate Law incl. RBI (Reserve Bank of India) and FEMA (Foreign Exchange Management Act) related compliance in case of foreign capital infusionAlign with Foxconn Group governance and policies across all secretarial and compliance practicesMaintain tracker for regulatory compliance, license / registration validity, and litigationsReview agreements, contracts, and policies to ensure accuracy and compliance with relevant regulationsReview any applications or documents requiring signatures from the directorsAct as the primary liaison between the company and its stakeholders, including regulators, to ensure clear communication and adherence to compliance requirementsKey Skills and CompetenciesStrong knowledge of the Companies Act, RBI, FEMA, SEBI regulations and allied lawsExcellent written communication and stakeholder management skillsAbility to work independently with high attention to detailPreferred ExperienceMember of ICSI (Institute of Company Secretaries of India)5+ years of post-qualification experience as a Company Secretary in IndiaIPO experience is preferred
