Conducting board and committee meetings, post and pre-meeting documentation, ensure necessary filing, monitoring compliances, record keepingEnsure maintenance of statutory books, including registers of members, directors, and secretaries for the group entitiesEnsure day to day compliances under various corporate laws including Companies Act 2013 and Secretarial StandardsAdherence to good corporate governance norms and practicesDrafting minutes, resolutions, and related documentationFiling e-forms with Registrar of Companies, Reserve Bank of India, and other statutory bodiesPreparing agendas and papers for board meetings, committees, and shareholder meetings;Assisting in mergers and acquisitions and other corporate actions of the CompanyTo provide opinions, interpretations on corporate laws, rules, and regulationsHandling ancillary matters viz. ESOP Policy implementation, constitution/reconstitution of committees of the board and its scope etc.

Qualifications

Desired Skills:-

Qualified Company Secretary – Member of Institute of Company Secretary of India (ICSI)Experience handling the corporate secretarial matterExtensive experience in analyzing and responding to regulatory and compliance matters;Excellent ability to analyze and assess business processes, spot issues and propose/implement solutions. Ability to function autonomously yet communicate laterally and upwardly with ease and Strong legal and business judgmentsExcellent written and oral communication skills and interpersonal skills to effectively communicate and coordinate complex issues and projects with diverse levels of management and employees. Ready/willing to take up new projects, work independently with minimal supervision and take responsibility. Prioritize and manage workload effectively, recognizing the quick turn-around requirements.
